Who they are

MCA is an agency of the Government of India, led by the Union Minister of Corporate Affairs. Its role lies in making policies regarding regulation, governance, insolvency, audit, and registration of businesses. The Ministry of Corporate Affairs acts as the regulatory body for the functioning of companies and LLPs in India, which operates on the basis of the Companies Act and other relevant legislation.


What they do

Administration of the Companies Act, 2013, deals with matters relating to incorporation, compliance, management, amalgamation, dissolution, and reporting of companies. Administration of the Limited Liability Partnership Act, 2008.

Corporate Governance: Sets and monitors corporate governance guidelines regarding the duties of directors, corporate composition, corporate disclosure, CSR, independent directors, and shareholders' interests.

Corporate Compliance: Manages the MCA21 online governance system for corporate incorporation, statutory requirements, annual accounts, and compliance. Handles the Insolvency and Bankruptcy Code, 2016, through IBBI and other related organizations. Deals with statutory auditing through the National Financial Reporting Authority (NFRA). Oversees the Serious Fraud Investigation Office (SFIO), which conducts investigations into serious cases of corporate fraud. Imposes requirements relating to Significant Beneficial Ownership (SBO), company ownership and record keeping, contributing towards India’s AML/CFT regime under the Prevention of Money Laundering Act (PMLA).
